The specific services, deliverables, timelines, and fees for any engagement will be set out in a separate written agreement or proposal. Where those terms conflict with these Terms, the signed agreement takes precedence.

Unless stated otherwise in writing, engagements are month-to-month and either party may end the relationship with 30 days' written notice.

5. Fees and payment

Fees are agreed in writing before work begins. Invoices are payable within the period stated on the invoice. Third-party costs — advertising spend, software licences, stock assets, and similar — are separate from our fees unless expressly stated otherwise.

6. Client responsibilities

To deliver effectively we need your cooperation. You agree to:

• Provide accurate information, assets, and access in a timely manner
• Respond to requests for approval within a reasonable period
• Ensure you hold the rights to any materials you supply to us
• Comply with the terms of any third-party advertising or marketing platform used in your campaigns

7. No guarantee of results

Digital marketing outcomes depend on many factors outside our control, including market conditions, competition, your product or service, your budget, and the policies and algorithms of third-party platforms. We will apply reasonable skill and care, but we do not guarantee any specific ranking, traffic volume, conversion rate, revenue figure, or return on investment. Any projections we share are estimates, not promises.

8. Intellectual property

All content on this website — including text, graphics, logos, and layout — is owned by or licensed to Klarvion LLC and protected by applicable intellectual property law.

Ownership of deliverables created for a client transfers to that client upon full payment, unless the engagement agreement states otherwise. We retain ownership of our underlying tools, templates, processes, and know-how.

Client logos and brand assets displayed on this site remain the property of their respective owners and are shown for identification purposes with permission.

9. Confidentiality

Each party agrees to keep confidential any non-public business information received from the other, and to use it only for the purposes of the engagement.

10. Third-party platforms and links

Our services often involve third-party platforms such as Google, Meta, and email service providers. We are not responsible for changes to their policies, pricing, algorithms, or availability. This site may link to third-party websites; we are not responsible for their content or practices.

11. Limitation of liability

To the fullest extent permitted by law, Klarvion LLC will not be liable for any indirect, incidental, special, or consequential loss, including lost profits, lost revenue, or lost data, arising from your use of this website or our services.

Our total aggregate liability in connection with any engagement will not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify Klarvion LLC against claims arising from materials you supply to us, from your breach of these Terms, or from your breach of any third-party platform's policies.

13. Communications

By contacting us you agree we may respond by the channels you have provided. SMS messaging is governed by the consent terms described in our Privacy Policy, and you may opt out at any time by replying STOP.

14. Termination

We may suspend or terminate access to this website or any engagement if you breach these Terms, fail to pay amounts due, or ask us to do something unlawful or in breach of a platform's policies.

15. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. The courts of Wyoming will have exclusive jurisdiction over any dispute, unless applicable consumer law grants you rights in your local courts.

We may revise these Terms from time to time. The "last updated" date reflects the most recent version. Continued use of the site after changes constitutes acceptance.
